Money moves in two directions. The master partner pays the brand owner an initial fee for the territory and the operating system, then a continuing royalty, usually calculated on sales. It earns from the units it owns and operates, and from an agreed share of the joining fees and royalties paid by local franchisees in its territory; the remaining share goes to the brand owner. That share pays for the work the master partner does locally: recruiting, training, supplying and inspecting the network. Rates, shares and term are set in the final agreement. The periods, the tests and the remedies belong in the final agreement and require independent legal advice.
